Commercial/Business Development- Global Pharmaceutical Company with headquarters in Northern New Jersey is seeking an attorney for the position of Legal Director, Business Development. This position is responsible for providing legal counsel to the company's global business development department. Responsibilities include negotiating and drafting agreements for licensing, co-promotion, co-development, co-marketing and acquisitions in the pharmaceutical field, supervising outside counsel, and managing relationships with the company's marketing and development partners. There is further responsibility for Hart-Scott Rodino filings, negotiating and drafting confidentiality agreements and due diligence. This position also advises senior management regarding legal and regulatory aspects of major issues involving licensing and related transactions, some of which may be domestic, global or intra-company transactions. Candidates should have 8 or more years of relevant experience including 5 years or more in the pharmaceutical industry.  In particular, candidates must have experience negotiating and drafting licensing, promotion, and development deals, including global transactions. General Counsel- Global Consumer Products Company  in New Jersey has an executive position for a VP- General Counsel. This position oversees the company's in house US legal department and all legal aspects of its operations in the United States, Canada, Australia and New Zealand. The VP-General Counsel will sit on the management team for the company's North American business and will have wide ranging responsibilities. The VP-General Counsel must have knowledge, skill and experience to offer leadership and guidance in diverse fields including consumer and institutional food, cosmetics and drugs. The role of the VP-General Counsel will include personnel management and counseling, substantive negotiations, dispute resolution, transaction management, government relations and commercial expertise. The company's products in North America are regulated by the EPA, CPSC, FDA and Health Canada and the VP-General Counsel  takes a leadership role in how the company interacts with those agencies. General Counsel-  Global Healthcare Industry Company  is seeking a General Counsel to work in itsUnited States headquarters in Princeton, New Jersey. The General Counsel will report to the Chief Executive Officer and will work closely with the President of United States Operations. The General Counsel will be responsible for leadership and management of legal affairs in the United States. The General Counsel will be responsible for overseeing and managing outside legal counsel. The General Counsel will provide legal perspective and advice so that management may achieve business objectives and make business decisions in compliance with applicable laws and regulations. Responsibilities  of the General Counsel will be wide ranging and will include serving as a trusted business partner who will counsel executive management and others with respect to business initiatives, corporate transactions, FDA regulatory issues, compliance matters, commercial contracts, sales, marketing, advertising, employment matters, litigation, product liability and intellectual property. In particular, the General Counsel will work closely with management in connection with commercial transactions that may include acquisitions of companies, collaborations with other companies, joint ventures, and the establishment of national accounts. The General Counsel should be experienced with the negotiation and drafting of various commercial agreements including vendor agreements, licensing agreements, and supply and distribution agreements. The General Counsel should have experience establishing a uniform set of processes and procedures related to business contracts. It is anticipated that the General Counsel will be a member of the Business Development Team. The General Counsel will have direct responsibility for interfacing with the company's regulatory department and in this regard it is expected that the General Counsel will have a good working knowledge of FDA laws and guidelines and the overall regulatory framework under which the company operates. The General Counsel will provide advice and counsel to the sales and marketing departments and should have experience in this area. The ability to understand and to oversee litigation matters and to direct and manage outside counsel retained to represent the company in litigation matters is integral to the General Counsel position. The General Counsel will provide advice and counsel to executive management on pending or anticipated litigation, the merits of such litigation, the advisability of settlement, and the risks associated with litigation in which the company may be a party. The General Counsel will counsel executive management and work closely with the human resources department with respect to employment law issues that arise in the workplace. The General Counsel will oversee and manage outside employment counsel when such counsel is retained to assist with employee relations matters. Candidates should have strong academic credentials and a minimum of 10 years experience which should include significant in house experience counseling executive management. Must have thorough hands-on knowledge of various areas of the law including FDA regulatory matters, corporate transactions, commercial contracts, litigation, employment law, intellectual property, international law and compliance. Securities law experience would be a plus. Candidates should be highly skilled in negotiation and drafting of various contracts including licensing, supply and distribution agreements. Prior experience in the healthcare industry is also desirable. The successful General Counsel candidate will have excellent oral and written communication skills, superb client relations skills and a demonstrated ability to analyze, assess and articulate legal implications and risks of multi-dimensional and complex issues.
