Associate Director, Corporate Counsel – Corporate and Securities

Our client, a growing publicly traded pharmaceutical company in New York is seeking an experienced securities counsel. This Attorney will primarily support the Executive Director, Assistant General Counsel and Assistant Secretary with regard to public company reporting, securities laws compliance, treasury/financing matters, corporate governance and general corporate matters. This position will assist in providing legal guidance and support to a number of internal clients and will assist in supporting the Corporate Secretary function.

As an Associate Director, Corporate Counsel, a typical day may include:

  • Assist in the preparation, coordinate legal input and provide overall legal support for current and periodic reports to the SEC, including Forms 10-K, Forms 10-Q and Forms 8-K.Prepare, review and provide compliance and disclosure advice concerning Section 16 reporting.
  • Assist in the preparation, coordinate legal input and provide overall legal support for preparations of proxy statements and related materials, including the compensation discussion and analysis.
  • Assist with financing matters and legal support of the treasury function.
  • Assist with shareholder engagement matters and perform research relating to various corporate governance issues.
  • Help maintain accurate corporate records and documentation and provide ongoing administration and data maintenance of subsidiaries on a global basis (domestic and international).
  • Perform SEC, NASDAQ and general corporate governance and disclosure research and analysis and provide support to internal clients, including Investor Relations, Accounting, Finance, Treasury and Corporate Communications with regard to external and internal communications and other matters.
  • Draft and maintain shareholder and board resolutions, consents, agendas, stock certificates, secretary’s certificates and other records.
  • Assist with annual shareholder meeting matters.
  • Assist with administration and data maintenance of subsidiaries on a global basis.

To be considered for this position, you must possess:
BA/BS and JD with excellent law school credentials. Licensed to practice law in New York or be eligible for licensure as a registered in-house counsel in New York with 3 – 6 years of experience in SEC and public company compliance and corporate governance. Law-firm training preferred; experience with biotechnology or pharmaceuticals companies a plus. Excellent professional ethics, integrity and judgment.

Salary commensurate with experience. Bonus and equity eligible position.
