Our client, a global media company, is seeking an experienced M&A and commercial lawyer for the position of Associate General Counsel – Corporate and Commercial. This role can be based in New York or New Jersey. In this role, you will be part of the Legal Department’s Corporate and B2C Commercial Team.  You will serve as a senior leader within the Corporate and Commercial Legal team and as the deputy to the Deputy General Counsel – Corporate and B2C Commercial, assisting and managing a number of service areas including M&A, strategic partnerships, vendor agreements and corporate governance. There is one direct report into this role.  The ideal candidate will be able to work independently, have excellent interpersonal skills, and be able to work with a diverse client base and senior management.

KEY RESPONSIBILITIES

  • Draft, review and negotiate strategic partnership, affiliate marketing and other key commercial agreements for the B2C businesses.  In this role you will serve as a key Partnerships team member, working with internal business and strategy teams and leading legal work on deals with key partners, including platform partners.
  • Assist as key deal-team partner on M&A projects across all Company brands.   
  • Manage and assist Sourcing legal team handling vendor and sourcing agreements.  
  • Develop and refine contract playbooks, models and forms, legal standards and policies to address the evolving needs of a growing organization.
  • Assist in overseeing corporate governance and global organization subsidiary structure.
  • Manage outside counsel across M&A, strategic and platform partnership and other complex projects.

QUALIFICATIONS:

  • J.D. and U.S. State bar license required.
  • 8+ years of experience. In house experience is not required but would be a plus.
  • Expertise drafting, reviewing and negotiating contracts including vendor and complex commercial partnerships.
  • Familiarity with M&A and corporate governance.
  • High level familiarity with privacy regulations (e.g. CCPA, GDPR).
  • Media/content experience, as well as some experience dealing with major tech platforms preferred.
  • Excellent written and verbal communication skills with the ability to explain legal issues in an easily accessible manner.
