Associate General Counsel – Litigation & Commercial Contracts

Global life sciences industry company is seeking an experienced litigator/commercial contracts lawyer for the position of Associate General Counsel. This is a direct report to the General Counsel and the position is based in New Jersey.


Actively and efficiently manage the company’s U.S. litigation caseload, including supervising outside counsel, setting reserves and keeping costs consistent with business objectives.

Provide comprehensive legal counsel and litigation expertise to support contractual and commercial projects for the company’s business operations and initiatives.

Manage the company’s responses to its external auditors concerning U.S. legal proceedings.  Provide semi-annual reports to the Office of the General Counsel as to the status of U.S. legal proceedings.

Provide legal review, advice, and support on a broad range of legal matters including strategic transactional documents, commercial contracting, licensing, quality and operations, transactional and general corporate matters

Work closely with all business functions and senior management.  Actively assist company in achieving business objectives.

Demonstrate strategic value and competence in applying legal skills to daily in-house corporate, business, compliance, litigation, and other matters.

Supervise outside counsel and related budgets, as needed.

Identify areas of company risk and make proposals for and lead implementation of mitigation strategies.


Qualified candidates will have a J.D. and at least 10 years of litigation and general commercial contracts experience at a major law firm and/or corporate in-house legal department.

In-house legal department experience is strongly preferred and experience working for a pharmaceutical company or other life science industry company is preferred.

High degree of professional ethics and integrity.

Excellent judgment and ability to operate in a fast-paced, small legal department on a broad range of litigation and commercial matters.

Ability to act independently and as part of a team. Ability to provide solution-oriented, practical guidance in working with business management.

Outstanding verbal and written communication skills and ability to communicate clearly with colleagues, outside counsel, business partners and other stakeholders.  Excellent analytical skills and people skills are essential.

Ability to prioritize responsibilities, to work efficiently, to manage and to conclude, in a timely manner, many agreements, projects, disputes, and issues.

Admission and membership in good standing to the bar of at least one state and the ability to secure New Jersey in house counsel licensure.
