Princeton Legal Search Group is retained on an exclusive basis with Otsuka America Pharmaceutical US to lead the search for an experienced attorney familiar with pharmaceutical pricing, reimbursement, market access contracting strategies, and commercializing approved products.

This role requires a candidate who has an understanding of and several years of experience with the legal and business risks specific to pharmaceutical product pricing and reporting, public and private third-party payer and PBM, GPO and specialty pharmacy contracts, product labeling, negotiating and drafting complex contracts for other functional areas and the advertising and promotion of approved products. Key responsibilities are to provide proactive and strategic advice and counsel on product commercialization tactics and strategies, pricing, government price reporting requirements, as well as drafting and negotiating third-party contracts.

The Director, Corporate Counsel will have direct experience in the pharmaceutical industry or at a law firm, and be able to bring a sound understanding of the industry and the other functional areas within a pharmaceutical company. The candidate must demonstrate the ability to understand and apply legal risks within their areas of responsibility, and clearly and appropriately communicate those risks for client consideration. As a Director within the Legal team, it is expected the individual will also work independently, be able to develop well-reasoned positions, and know when to appropriately escalate complex and unique topics for further discussion and consideration. They develop, implement and execute legal strategies that provide a solid legal position while enabling the business objectives.

This role can be located in Otsuka’s Princeton, NJ or Rockville, MD offices, or it can be remote, but availability during US Eastern time zone business hours is mandatory. No matter where the role is located, up to 25% travel is required based upon business needs.

Job Description

Specific Responsibilities of the Role:

  • Provide Legal support for the company’s Market Access and Channel Strategy colleagues.
  • Draft, review and manage a variety of contracts and agreements including public and private payers, specialty pharmacy contracts, value-based contracts, PBMs, GPOs.
  • Maintain a deep and current awareness of evolving FTC, FDA and other relevant laws and regulations, as well as interpretations, advisory comments, state and federal enforcement actions and policy issues;
  • Effectively partner with Medical Affairs, Regulatory Affairs, Marketing and other Commercial colleagues to ensure promotional labeling, advertisements and educational materials are reviewed in compliance with applicable laws and regulations in a timely fashion throughout the product life-cycle;
  • Provide guidance to multi-functional teams to ensure compliance with company policies and legal/regulatory requirements.
  • Perform other legal, administrative and corporate duties upon request

  • Risk Scenario Modeling: Analyze, assess, and quantify the risks associated with products/individual applications/business activities/the market to determine whether any risk is within the agreed risk appetite. Undertake tactical risk modeling.

EDUCATION:

  • Doctor of Jurisprudence (J.D.) or equivalent degree required
  • Admission to at least one state bar

EXPERIENCE:

  • Minimum of 5 years of relevant experience as an attorney in the pharmaceutical industry or at a law firm advising pharmaceutical clients.
  • Experience & demonstrated ability to collaborate, build and sustain effective partnerships with multicultural key stakeholders and project teams
