Princeton Legal Search Group has been retained on an exclusive basis to lead the search for a General Counsel for Parkview Financial in Los Angeles, California.

Key Responsibilities:

The General Counsel (GC) will serve as the company’s senior legal leader, overseeing all legal matters related to commercial real estate lending, fund management, corporate governance, and regulatory compliance. This individual will be critical in managing risk, structuring transactions, and providing strategic legal guidance to the executive leadership team. The GC will also ensure that all lending and investment activities comply with applicable laws and industry best practices while supporting the company’s continued growth.

  • Transactional & Real Estate Finance:
    • Structure, negotiate, and document commercial real estate loans, credit facilities, and other financing transactions.
    • Oversee all legal aspects of loan origination, underwriting, and servicing, including drafting and reviewing loan agreements, security documents, and fund-related contracts.
    • Provide legal guidance on complex real estate finance matters, including distressed assets, workouts, and loan modifications.
  • Fund & Corporate Governance:
    • Ensure compliance with private real estate debt fund regulations, investor agreements, and fund structuring requirements.
    • Advise on corporate governance matters, including board resolutions, entity structuring, and operational policies.
    • Collaborate with external counsel and regulatory bodies to maintain compliance with state lending laws, and other applicable regulations.
  • Risk Management & Compliance:
    • Develop and oversee risk mitigation strategies for commercial real estate lending and fund operations.
    • Ensure compliance with lending laws, fair lending regulations, and evolving real estate finance industry standards.
    • Monitor and manage litigation, disputes, and regulatory inquiries affecting the company.
  • Leadership & Cross-Functional Collaboration:
    • Work closely with executive leadership, investment teams, and underwriting professionals to support business objectives.
    • Provide legal training and guidance to internal stakeholders on key legal and regulatory issues.
    • Manage relationships with outside counsel and legal advisors as needed.
  • Legal and Regulatory Compliance:
    • Oversee compliance with federal, state, and local lending laws and regulations, including those specific to construction and midcap lending.
    • Develop, implement, and monitor policies and procedures to ensure regulatory compliance.
    • Advise on the Truth in Lending Act (TILA), Real Estate Settlement Procedures Act (RESPA), and other applicable laws.
    • Ensure compliance with lender-specific requirements and regulations.
  • External Counsel Management:
    • Manage relationships with external counsel, ensuring efficient use of resources.
    • Oversee litigation and dispute resolution related to lending operations.

Qualifications & Experience

  • J.D. from an accredited law school.
  • Admission to the bar and active bar membership in at least one state and if not admitted in California, the ability and willingness to make application under California Rules of Court and Rules of the State Bar for permission to practice as Registered In-House Counsel (RIHC).
  • 10+ years of experience in real estate finance, commercial lending, or structured finance, preferably within a private lender, investment firm, or top law firm.
  • Deep knowledge of commercial real estate lending, loan documentation, fund management, and regulatory compliance.
  • Experience advising on private fund structures and financial services regulatory matters is a plus.
  • Strong negotiation, drafting, and problem-solving skills.
  • Ability to work in a fast-paced, entrepreneurial environment with a hands-on approach.
  • Working knowledge of CA and NY Real Estate laws and compliance is a plus.

Compensation Range

  • Base salary of $400K/yr -$500K/yr and a comprehensive benefits package including a 401K.
  • The final salary will be based on several factors, including, but not limited to, a candidate’s qualifications, training, skills, competencies, and experience.
