Overview

Princeton Legal Search Group has been retained on an exclusive basis by the New York Hall of Science (NYSCI) to lead the search for a Senior Vice President, Legal & Compliance. This newly created role will report directly to the President/CEO and oversee the management of all of NYSCI’s legal, compliance and operational affairs with support from one direct report. This position will be a member of NYSCI’s executive team which includes attending the Senior Leadership team meetings and interaction with external partners. The Senior Vice President, Legal & Compliance will serve as NYSCI’s Compliance Officer.

Primary Job Responsibilities

  • Advise the President & CEO, senior management and others within the organization on
    nonprofit corporate, compliance, intellectual property, governance, benefits, litigation, risk management, and employment law issues.
  • Support the President & CEO by assisting in handling various day-to-day legal matters
    and providing advice across the organization. This will include reviewing, drafting, and negotiating contracts and other documents, such as: sponsorship/grant agreements, rental/events agreements, non-disclosure agreements, consulting agreements, and licenses and releases, and advise senior management on related issues.
  • Assist President & CEO in ensuring organizational compliance with applicable laws and
    regulations, such as lobbying, regulatory and public policy matters, and laws relating to charitable solicitations in New York State and nationally.
  • Advise on risk management practice, liability, and insurance matters; serve as
    Compliance Officer on all risk management issues and oversee all whistleblower policy allegations and reports.
  • Develop and deliver training and workshops for staff to foster a culture of integrity,
    transparency, and adherence to legal and regulatory requirements across the organization.
  • Monitor and advise the President & CEO and others on legislative developments related
    to nonprofit organizations, including human resources and benefits-related legislation.
  • Manage legal operations, including documentation retention and managing outside
    counsel/legal spend, and assist with corporate governance.
  • Assist on special projects with the President & CEO, other members of the executive
    team, and across the organization.

Skill, Knowledge & Experience

  • A J. D. degree from an ABA-accredited U.S. law school is required.
  • Admitted to practice law in New York State or the ability to register as in house counsel with the State of New York if not admitted to the NY Bar..
  • A minimum of 5-7 years of experience practicing law in a law firm or public interest environment; in-house corporate experience preferred, but not required.
  • Significant experience in contract drafting and negotiations, as well as experience
    addressing legal issues related to one or more other relevant areas of focus such as nonprofit governance, grantmaking, fundraising, risk management, advocacy, and government (all levels) contracting.
  • Applicant will ideally have a mix of corporate, nonprofit, and government experience.
  • Excellent analytical, drafting, negotiation, research and oral/written communication
    skills.
  • Ability to provide sound legal advice, develop creative solutions, and exercise sound
    business judgement and discretion.
  • Exceptional initiative and proven ability to work efficiently and effectively in a collegial
    and fast-paced environment.

Salary range: Up to $225,000 Annually
