Position Overview:
The Associate General Counsel will join a small corporate team in a blended legal and business role. In addition to handling a broad range of corporate matters, the AGC will work with senior management on evaluating and conducting diligence on potential long term investments. The AGC will report to the General Counsel, who has worked closely with this client for more than a decade, and will have direct client access. Position Responsibilities:
- Review and negotiate investment opportunities, conduct related due diligence, and perform research and analysis as needed.
- Counsel management on a range of compliance matters and liaise with the requisite Federal agencies.
- Support and advise the investment team on corporate transactions, including mergers & acquisitions, divestitures, investments, joint ventures, financings, and strategic alliances, and have the support of top tier outside corporate counsel when needed.
- Negotiate, draft, and execute a wide range of legal agreements ensuring both business and legal objectives are met, and advise internal clients on contract interpretations.
- Partner with businesses to advise on legal risks, business strategies and other issues.
- Provide support on litigation matters handled by outside counsel.
Required Qualifications:
- Juris Doctor from an accredited law school with excellent academic credentials.
- Active bar membership in good standing in at least one U.S. jurisdiction.
- 3+ years of corporate finance, private equity, investment fund and/or M&A experience in an AmLaw top 100 law firm.
- M.B.A. and/or prior business background in private equity or at a hedge fund as an analyst is highly desired.
- Excellent written and oral communication skills
- Willingness to work on a broad variety and constantly evolving array of subject matters.
- Exceptional business judgment, with the ability to think strategically and provide practical advice by balancing business needs with legal risks.
