About the Role
- The Senior Director – Corporate Counsel, Securities & Finance will report directly to the Deputy General Counsel and will serve as an integral member of the Corporate & Legal Affairs Team and will interact with and support various groups across the company with a primary focus on securities law compliance, corporate governance, corporate finance and treasury support, and other corporate legal matters.
- This role partners closely with finance, investor relations, and treasury to ensure accurate, timely public disclosures and to support capital markets and corporate finance transactions.
- Must be able to confidently:
- Manage legal review and preparation of Forms 10-K, 10-Q and 8-K and oversee Section 16 filings
- Draft and manage the preparation of proxy materials and the annual meeting of shareholders
- Advise on earnings materials, capital markets transactions and other corporate finance matters.
- Advise on insider trading compliance and Regulation FD, including disclosure controls and procedures
- Advise on current external governance trends, and securities law and NYSE regulatory updates and best practices.
- The role will also support corporate M&A transactions, including plan and assist in due diligence, sustainability disclosures, and supporting the Board of Directors.
Your Skills and Expertise
To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:
- Juris Doctorate from an accredited law school and 5 -15 years of experience in public company securities work
- Required licensure to practice law within at least one state
- Strong knowledge of U.S. securities laws, SEC reporting and corporate governance
- Experience supporting M&A and capital markets or financing transactions
- Excellent drafting, analytical and communications skills
- Demonstrated ability to perform successfully independently in a fast-paced, highly visible environment, using sound judgment and on cross-functional teams
- Prior in-house and/or major law firm experience preferred
Compensation
The expected cash compensation range for this position is $259,008–$318,000, which is inclusive of the target annual bonus. Equity eligible position.
