(Nasdaq: CRMD), to lead the search for an Assistant General Counsel to work in its Parsippany, NJ headquarters. The company is focused on developing and commercializing innovative products that help prevent life-threatening infections and improve outcomes for patients with chronic kidney disease and other serious conditions. CorMedix recently acquired Melinta Therapeutics LLC, which significantly expanded its product portfolio. CorMedix also recently received an Innovative Technology designation for DefenCath®, its lead product designed to reduce catheter-related bloodstream infections in hemodialysis patients. About the Role

Reporting to the Chief Legal Officer, the Assistant General Counsel will serve as a trusted advisor across the organization, providing hands-on legal support and business counseling in the areas of alliance management(significant agreements with vendors, suppliers, and contract manufacturing partners) mergers and acquisitions, corporate governance, commercial contracts, regulatory matters, employment, litigation oversight, and intellectual property. This is an opportunity to play a key role in a high-growth environment and partner closely with senior leadership as the company expands its commercial footprint.

Key Responsibilities

  • Structure, draft, negotiate, and execute high-value agreements critical to CorMedix’s operations, including strategic manufacturing, supply, and distribution agreements, domestic and international alliance management and business development agreements, R&D agreements, confidentiality and consulting agreements.
  • Maintain and improve contract management systems, templates, and workflows.
  • Ensure contracts comply with federal, state, and local laws and industry standards.
  • Advise business partners on legal risks and strategies that support commercial objectives while ensuring compliance.
  • Develop and maintain policies and procedures that mitigate risk and promote compliance with federal, state, and industry standards.
  • Conduct due diligence and advise on M&A and business development transactions.
  • Provide guidance on employment matters and oversee litigation matters. Oversee and direct outside counsel in the effective defense and resolution of all litigation, regulatory inquiries, and pre-litigation disputes, ensuring robust risk mitigation strategies are implemented across the organization.
  • Oversee and manage relationships with outside counsel and ensure cost-effective, high-quality legal service is delivered to CorMedix.
  • Support public company reporting and securities compliance.
  • Serve as a mentor and provide legal direction and oversight to members of the legal team, promoting a culture of compliance and legal acumen.

 

Qualifications

  • Juris Doctorate (JD) from an accredited law school, with a strong academic background preferred.
  • Admitted to practice law in New Jersey or the ability to register as in-house counsel with the State of New Jersey if not admitted to the NJ Bar.
  • Minimum of 8 years of legal experience, including training at a top law firm coupled with in house experience.
  • Pharmaceutical/biotechnology industry experience or experience representing pharmaceutical or biotechnology clients while practicing at a law firm is highly preferred.
  • Familiarity with FDA regulations and knowledge of product launch, advertising and promotion of branded pharmaceuticals.
  • Proven success drafting and negotiating a range of commercial contracts.
  • Proven experience handling a range of commercial transactions, mergers & acquisitions due diligence and corporate matters.
  • Demonstrated ability to provide pragmatic, solutions-oriented legal advice.
  • Excellent business judgment, communication, and collaboration skills.
  • Ability to thrive in a fast-paced, evolving environment.

Compensation

  • Base salary of $285K-350K, bonus, long term equity and a comprehensive benefits package.
  • The final salary will be based on several factors, including, but not limited to, a candidate’s qualifications, training, skills, competencies,
    and experience.
