Princeton Legal Search Group is retained on an exclusive basis with Smartlinx Solutions to lead the search for an experienced attorney to join the company as Assistant General Counsel, Head of Business Affairs. The Assistant General Counsel, Head of Business Affairs, will play a vital role in some of the company’s most strategic priorities. This role will provide strategic legal counsel, employment counsel, subject matter expertise, and thought partnership in corporate governance, transactional, employment, and regulatory compliance matters, and will report to the Chief Financial Officer. The attorney will partner closely with department leaders to identify issues of the highest risk facing the organization and propose and drive solutions to address them. There is a preference for the attorney to be in Boston, MA, and have a hybrid work model. Remote candidates located in ET can be considered.

Responsibilities:

  • Provide counsel and advice to senior leaders to set the company’s legal strategy on a broad range of matters related to new initiatives and products and other corporate, transactional, and regulatory matters.
  • Oversee compliance with applicable laws and regulations and conduct legal research and analysis to stay current on changes that may impact the company and its subsidiaries.
  • Manage federal and state regulatory strategy and compliance, and develop state-specific regulatory guidance.
  • Partner with the HR team on employment practices, policy handbook updates, compliance training, and litigation requests brought to the department by current and former employees.
  • Oversee the improvement of operating processes to increase efficiency and mitigate legal risks (pricing, sales, R&D, finance).
  • Review and advise on a range of agreements, including corporate, employment, and commercial (buy and sell side) agreements.
  • Manage all litigation issues faced by the company.
  • Select, oversee and manage outside counsel.

Qualifications:

  • JD from an accredited law school.
  • Bar membership in good standing and the ability to secure in-house counsel registration, if required.
  • 8+ years of experience, preferably at least four years in an in-house role.
  • Experience managing complex corporate, commercial, and regulatory legal matters.
  • Proven ability to provide thought partnership and leadership in developing innovative legal and risk management strategies.
  • Ability to calibrate advice to all levels of the organization.
